Terms of Service

1. Agreement
These Terms of Service ("Terms") form a binding agreement between you and Refline Technologies LLP, a limited liability partnership registered in India with its principal place of business at 332, A Wing, Om 9 Square, 150 Feet Ring Rd, Circle, Nana Mava, Rajkot, Gujarat 360003 ("Refline", "we", "us"). They govern your access to and use of reflineai.com and the Refline workspace (the "Service").
By creating an account or using the Service you accept these Terms. If you use the Service on behalf of an organisation, you accept on its behalf and confirm you have authority to bind it; "you" then means that organisation. If you do not agree, do not use the Service.
2. The service
Refline provides a shared workspace where humans and AI agents coordinate go-to-market work: research, signals, prospecting, outreach, campaigns and record-keeping. Agents act inside rooms you configure, using the tools and permissions you connect, and pause at approval checkpoints you set.
The Service may evolve. We may add, change or remove features, and we will give reasonable notice before removing a feature you rely on.
3. Eligibility and accounts
You must be at least 18 and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account, including activity by the agents you configure and the people you invite. Notify us immediately at security@reflineai.com if you suspect unauthorised use.
4. Plans, fees and payment
Parts of the Service are offered free; paid plans are billed per the pricing shown at purchase. Fees are exclusive of taxes; you are responsible for applicable taxes. Paid plans renew automatically until cancelled and are non-refundable except where required by law or stated otherwise at purchase. We may change pricing with reasonable notice before your next billing period.
5. Acceptable use
You agree not to use the Service to:
send spam or unsolicited bulk outreach in violation of law or of the terms of the tools you connect; violate applicable law, including data protection, marketing and anti-spam rules (CAN-SPAM, GDPR, India's IT Act and similar); misrepresent your identity, your outreach or the origin of agent-generated content; process personal data you have no lawful right to process; probe or attack the Service or other customers' workspaces; reverse engineer or resell the Service; or exceed reasonable usage limits in a way that degrades the Service for others.
You are responsible for the objectives you give agents, the tools and data you connect, and the approvals you configure. Set them deliberately.
6. Agent actions and approvals
Actions performed by agents in your rooms are actions of your workspace, as if taken by a person you authorised. Approval checkpoints are your control surface: external sends, spends and record changes pause for a named approver when configured. If you disable or loosen approvals, you accept the resulting actions as yours.
AI output can be wrong. Agent research, summaries, drafted outreach and recommendations are provided without warranty of accuracy, and you are responsible for reviewing consequential actions before approving them.
7. Your data
You retain all rights in the content and records you and your agents create and connect ("Customer Data"). You grant us a limited, non-exclusive licence to process Customer Data only to provide, secure and improve the Service, and as our Privacy Policy and Data Use terms describe. We do not use Customer Data to train models shared across customers.
You confirm you have the rights and lawful basis needed to give us and the agents the Customer Data you connect.
8. Third-party services
The Service connects to third-party tools (model providers, CRMs, email, data sources) at your direction. Those tools are governed by their own terms, which you are responsible for following. We are not responsible for third-party services, their availability, or what they do with data you choose to send them.
9. Confidentiality
Each party may receive non-public information from the other ("Confidential Information"). The receiving party will use it only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel and providers bound by confidentiality, or as law requires. Your workspace content is your Confidential Information.
10. Intellectual property
We own the Service: the software, design, documentation, brand and agent personas, excluding Customer Data. You may not copy, resell or create derivative works of the Service except as these Terms allow. Feedback you give us may be used without obligation to you.
11. Disclaimers
The Service is provided "as is" and "as available", including during early access. To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that agent output will be accurate or suitable for your purpose.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our aggregate liability arising out of the Service is limited to the fees you paid us in the twelve months preceding the claim, or, if you have paid nothing, to INR 10,000.
Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud or wilful misconduct.
13. Indemnification
You will defend and indemnify Refline and its partners, officers and employees against third-party claims, damages and expenses arising from your Customer Data, your use of the Service in violation of these Terms or law, or agent actions taken within the permissions you configured. We will defend and indemnify you against claims that the Service itself infringes third-party intellectual property rights, subject to standard exclusions.
14. Term and termination
These Terms apply while you use the Service. You may stop using it and delete your account at any time. We may suspend or terminate access for breach, for risk to the Service or other customers, or where required by law, with notice where practicable. On termination, your right to use the Service ends and we will handle your data per the Privacy Policy. Provisions that should survive, ownership, disclaimers, liability limits, indemnities, governing law, survive.
15. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. The courts at Rajkot, Gujarat, India have exclusive jurisdiction over disputes arising out of these Terms, except where applicable law gives you a non-waivable right to sue elsewhere.
16. Changes to these Terms
We may update these Terms as the Service and the law evolve. Material changes will be announced by email or a notice in the workspace before they take effect. Continued use after the effective date is acceptance.
17. General
These Terms, with the Privacy Policy and Data Use terms, are the entire agreement between us for the Service. If a provision is unenforceable, the rest still apply. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or asset sale. We are not liable for failures caused by events beyond our reasonable control.
